1. Purpose

This E‑Signature Policy outlines how electronic signatures (“E‑Signatures”) are created, used, stored, and legally recognized within the Tanzaibiz ERP platform (“Service”). By using the Service, users agree that electronic signatures executed through Tanzaibiz are valid, binding, and enforceable under the laws of the United Kingdom and the United Republic of Tanzania.

2. Legal Framework

2.1 United Kingdom

Electronic signatures used within Tanzaibiz are recognized under:

  • The Electronic Communications Act 2000
  • The UK eIDAS Regulation (retained EU law)
  • Relevant case law affirming the validity of electronic signatures

Under UK law, electronic signatures are legally valid provided the signer intends to authenticate the document and the method used is reliable.

2.2 United Republic of Tanzania

Electronic signatures are recognized under:

  • The Electronic Transactions Act, 2015
  • The Electronic Transactions (Certification Service Providers) Regulations

Under Tanzanian law, electronic signatures are valid if they are:

  • Unique to the signer
  • Capable of identifying the signer
  • Created under the sole control of the signer
  • Linked to the data in such a way that any alteration is detectable

Tanzaibiz ensures compliance with these requirements where applicable.

3. Types of Accepted Electronic Signatures

Tanzaibiz may support the following signature types:

  • Typed signatures (e.g., typing a name into a form)
  • Click‑to‑sign actions (e.g., “I Agree” buttons)
  • Digital signatures using cryptographic methods
  • Uploaded handwritten signatures
  • Biometric signatures (if enabled and legally permissible)

The specific method used may vary depending on the workflow, document type, or legal requirements.

4. User Consent & Intent

By using Tanzaibiz, users acknowledge and agree that:

  • Electronic signatures are legally binding
  • Signing electronically indicates clear intent to authenticate
  • Consent to use electronic signatures is granted by continuing to use the platform
  • Users may withdraw consent, but this does not affect previously signed documents

5. Authentication & Verification Measures

To ensure compliance with UK and Tanzanian legal standards, Tanzaibiz may use:

  • Secure login credentials
  • Multi‑factor authentication (if enabled)
  • IP address and device logging
  • Timestamped audit trails
  • Document integrity checks

These measures help verify signer identity and protect against tampering.

6. Platform Responsibilities

Tanzaibiz will:

  • Maintain secure systems for capturing and storing E‑Signatures
  • Protect signed documents using encryption and access controls
  • Retain signature records in accordance with applicable laws
  • Provide audit logs upon request for legal or compliance purposes
  • Notify users of any security incidents affecting signed documents

7. User Responsibilities

Users agree to:

  • Keep login credentials confidential
  • Ensure they have authority to sign on behalf of their organization
  • Verify the accuracy of information before signing
  • Not repudiate (deny) signatures made under their authenticated account
  • Comply with all applicable laws in their jurisdiction

8. Limitations & Exclusions

Certain documents may not be eligible for electronic signatures under UK or Tanzanian law, including:

  • Wills and testamentary documents
  • Court filings or legal pleadings
  • Documents requiring notarization or witnessing
  • Certain government forms or statutory declarations

Users are responsible for ensuring that E‑Signatures are appropriate for their specific use case.

9. Cross‑Border Recognition

Tanzaibiz supports cross‑border electronic signatures. Documents signed electronically within the platform are intended to be valid in both:

  • The United Kingdom, under UK eIDAS
  • Tanzania, under the Electronic Transactions Act

However, users must ensure compliance with any additional local requirements in their own jurisdictions.

10. Withdrawal of Consent

Users may withdraw consent to use electronic signatures by contacting Tanzaibiz Support. Withdrawal:

  • Applies only to future transactions
  • May limit access to certain features
  • Does not invalidate previously signed documents

11. Disputes & Liability

In the event of a dispute regarding an electronic signature:

  • Tanzaibiz may provide audit logs, metadata, and verification records
  • Users are responsible for actions taken under their accounts
  • Tanzaibiz is not liable for unauthorized use resulting from compromised user credentials

12. Updates to This Policy

Tanzaibiz may update this E‑Signature Policy at any time to reflect legal, technical, or operational changes. Updates will be posted on this page with a revised “Last Updated” date.
